1The Service
Pendora lets you attach files and license keys to products in your Shopify store and delivers them to your buyers automatically: on the thank-you page, by email and on a secure download page, with optional download limits, link expiry, PDF watermarks and passwords.
The Service runs on Shopify. You need an active Shopify store, and your use of Shopify is governed by Shopify's own terms.
2Your account
- You sign in through Shopify. Keep access to your Shopify admin secure, because anyone with it can use Pendora for your store.
- You are responsible for what happens under your store's account, including the actions of your staff and of any AI assistant you connect.
- Give us accurate contact details, so we can reach you about your account, deliveries and changes to the Service.
3Plans and billing
- Pendora's plans, prices and usage limits are shown on its Shopify App Store listing and inside the app. You can use the plans marked free without paying.
- Paid plans are billed through Shopify, in the currency and on the cycle Shopify shows when you approve the charge. Taxes are added where they apply.
- We may change prices or plan limits. We will tell you in advance, and a price increase takes effect only after you approve it in Shopify.
- Refunds follow Shopify's billing rules. Charges already made are not refunded except where the law requires it or we agree otherwise.
4Your content and acceptable use
You keep all rights in the files, license keys, text and branding you upload ("Your Content"). You give us a limited licence to store, copy, process and deliver Your Content only to run the Service for you.
You confirm you have the rights to sell and deliver Your Content, and you agree not to use the Service to:
- deliver anything illegal, or anything that infringes someone else's copyright, trademark or other rights;
- distribute malware, or files built to harm devices or data;
- deliver content that sexually exploits minors, promotes violence, or harasses people;
- send spam, or email people who did not buy from you;
- store special category data (such as health data) about individuals in delivered files or keys;
- probe, overload or get around the Service's security, rate limits or download limits; or
- resell or copy the Service, or reverse engineer it except where the law allows.
We may remove content or block deliveries that break these rules, and will tell you when we do unless the law prevents it.
5Your buyers
- You are the seller. Your buyers' purchases, refunds, product questions and consumer rights are between you and them.
- You must give your buyers the notices the law requires, including how their data is used for delivery.
- If a buyer contacts us, we will point them to you and help you answer.
6Data protection
Our Privacy Policy explains how we handle merchant and buyer data. When we process your buyers' personal data for you, our Data Processing Addendum applies and forms part of these Terms.
7Third-party services
The Service depends on Shopify and on the providers listed in our Privacy Policy. If you connect an AI assistant through the Pendora MCP server, data you let it read goes to that assistant's provider under your own agreement with them. We are not responsible for third-party services we do not control.
8Availability and changes
We work to keep the Service available and deliveries fast, but we do not promise it will be uninterrupted or error-free. We may add, change or remove features. If we remove a feature you rely on, we will tell you in advance where we reasonably can.
9Our intellectual property
The Service, its software, design and the Pendora name and logo belong to Henqq. These Terms give you the right to use the Service while you have it installed, and no other rights. If you send us feedback or feature ideas, we may use them without owing you anything.
10Disclaimer
Apart from what these Terms expressly say, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.
11Limitation of liability
- Neither party is liable for indirect or consequential loss, or for lost profits, revenue, goodwill or data, even if warned it might happen.
- Each party's total liability under these Terms and the Data Processing Addendum is limited to the greater of the fees you paid us in the 12 months before the claim and 100 US dollars.
- These limits do not apply to your obligations under "Your content and acceptable use" or "Indemnity", or to liability that the law does not allow to be limited.
12Indemnity
You will defend and compensate Henqq against third-party claims arising from Your Content, your products, your dealings with your buyers, or your breach of these Terms.
13Ending the agreement
- You can stop at any time by uninstalling Pendora from your Shopify admin.
- We may suspend or end your use of the Service if you seriously or repeatedly break these Terms, if the law requires it, or if your use puts the Service or other merchants at risk. Where we reasonably can, we will warn you first.
- After you uninstall, your data is deleted as described in the Privacy Policy, so download any files you want to keep before uninstalling.
- Sections that by their nature should continue (fees owed, intellectual property, disclaimer, liability, indemnity and governing law) survive the end of these Terms.
14Changes to these terms
We may update these Terms. We will post the new version here with a new date and tell you about material changes at least 14 days before they take effect. If you keep using the Service after that, the new Terms apply.
15Governing law
These Terms are governed by the laws of the State of Delaware, United States, and the courts of Delaware have exclusive jurisdiction, except where the law of your country gives you rights that cannot be waived. If any part of these Terms is unenforceable, the rest still applies.
